AJA has SDI I/O. The Matrox does not. The Matrox appears to play better with Firewire, from what I can gather. I just bought a Matrox, so I'll have more to say about it soon. But it depends on what kind of installation you are doing.
When I made some inquiries with AJA about their product, they sent me a link to the manual and said to ask Avid. Information was hard to come by for me, but I'm sure that will change as the AJA/Avid combo is out in the market longer and more people have experience with it.
