OK . . .

I may have figured out the issue:

I *think* it may be an issue with some header-data/tag in the PSD (??).

If I do the following:

1- In Photoshop: Change the Image Mode from RGB to Lab Color.
2- Reverse the process and save back to RGB.
3- Import into MC . . . the colors are correct.

I've tested this on both a layered PSD and on a .png . . . it it works.

Hmmm . . . good to know . . . ;)

Also:
My best results of a color match are when I lie to MC in the Import Settings that the colors are already at 709 levels, rather than tell it the truth that they are at RGB: http://i46.tinypic.com/11lslk1.png ---- Here's the result when imported with settings set to RGB: http://i47.tinypic.com/34iqsjp.png

Hopefully this can help someone else on the L2 as well.
