The best is the MpegII made from either one of them, as both won't play on a
regular player :-)
And yes, size does matter, if you duplicate (burn), use AC3 @ 192 and for
video CBR not higher than 7500.

But since this is a high end list, what makes you think that exporting to
another codec will give you improved quality?
Is your source SD uncompressed or HD?
If the latter, make a study about a good downscaling rather than file sizes,
lots to gain there.
(and if you dare to mention 'letterbox' you're game...)
